5.1 Overview

At Green Mining DAO, we have implemented a tokenization model that represents ownership in our company through Green Mining Tokens (GMT).

Therefore our native token GMT represents three main utilities: 1) representation of ownership 2) profit distribution rights and 3) voting power.

5.2 Representation of Ownership

The GMT tokens are ERC-20 compatible and are issued on the Polygon blockchain. The tokenization of our company shares enables fractionalized ownership, allowing investors to purchase and hold any amount of shares they desire.

The Tokens are issued as distributed ledger securities within the meaning of article 973d CO and in accordance with the articles of association of GM Data Centers AG, the legal entity representing the Green Mining DAO.

5.3 Token Supply

GM Data Centers AG currently has a share capital of 100,000 CHF, divided into 10,000,000 shares, with each share represented by one GMT token. The founding team and investors hold 10,000,000 GMT.

During Pre-Seed (Private Token Sale) and Seed-Financing (Pre-Token Sale,) token supply is being increased by up to 30% in each round, adding up to 7,000,000 new GMT to the total supply.

Whereas a total maximum of 8,000,000 CHF shall be raised in additional capital per year, increasing the total token supply accordingly.

Currently, there are a total of 16,000,000 GMT tokens in circulation, including those sold during our pre-seed financing round. Any unsold tokens from the pre-seed financing round will be burned after the conversion of the convertible loans from the Pre-Seed financing.

For future financing rounds, including seed-financing, new GMT tokens are minted. However, the number of new tokens minted will always be tied to a share capital increase, ensuring that each GMT token always represents a share in the company.

The process of burning current tokens and minting new ones at future financing rounds is designed to guarantee that each token always represents share capital in GM Data Centers AG.

5.4 Token Value

While existing shareholders percentages of ownership will be diluted during each additional financing round, each token sale will happen at an increased token price which also represents the increase in the company valuation.

This model enables us to raise additional capital while still maintaining the integrity of our share structure.

The identify the current company value for each token sale usual methods such as net present value model (NPV), third party audits and peer-group comparison will be used.
